Fee Agreement

All fees are denominated in Euros (EUR) unless otherwise stated. Subscription Plans are subject to a minimum contract term of three (3) months, which is non-cancellable. Pay as you go has no minimum term.

Persona allocation. Pay as you go: one Platform persona plus one outbound persona on the channel of the Business's choice (Email or LinkedIn). Launch: 1 Platform, 1 Email, 1 LinkedIn. Scale: 1 Platform, 2 Email, 2 LinkedIn. Dominate and Partner: 1 Platform, 4 Email, 4 LinkedIn.

A Pay as you go outbound persona with no Qualified Conversion for 60 days may be paused until the Business asks to restart it. Features marked [TBC] are subject to confirmation before the Plan is offered.

Businesses that commit to a twelve (12) month contract, billed monthly, receive a discount of twenty per cent (20%) on the monthly fee of Launch, Scale and Dominate. The annual contract discount applies to the monthly Plan fee only and does not apply to per-Qualified-Conversion fees, extra personas or add-ons.

The annual contract is binding for the full twelve-month term. No early termination is available during the contract term. Payment under an annual contract is made monthly — there is no requirement to pay the full annual amount upfront.

All subscription Plans are subject to a minimum contract term of three (3) months from the date of account activation. The minimum three-month contract term is non-cancellable. Businesses are liable for all fees due for the full minimum term regardless of whether they continue to use the Platform. Pay as you go has no minimum term.

After the minimum term, a subscription Plan continues on a rolling monthly basis unless either party gives [thirty (30)] days' written notice of cancellation, or unless the Business has committed to an annual contract. The parties will hold a review call at about day 75 to review results before the first renewal.

All Subscription Plans include the following complimentary onboarding services on account activation, at no charge, as marked:

The Plan fee and the Pay as you go membership fee are charged monthly in advance in Euros (EUR), by card on file. Per-Qualified-Conversion fees and extra-persona fees are charged monthly in arrears, at the end of each month, to the card on file, with a statement listing each Qualified Conversion. A Qualified Conversion fee is charged when the conversion is recorded, even if the booked call is later missed. Fees are non-refundable. No partial refunds are provided upon cancellation or account termination.

The Service Provider reserves the right to modify Plan pricing upon thirty (30) days' written notice. Price changes do not apply to existing contracts during their minimum or annual term. All fees are exclusive of applicable taxes. Businesses are responsible for any taxes applicable to their Plan in their jurisdiction.

Pay as you go: €29 per Qualified Conversion. Subscription Plans: Qualified Conversions generated by the personas included in the Plan are not charged individually, subject to the persona limit of the Plan and the capacity of each channel. The Plan fee includes the monthly membership fee.

Extra personas: a Business on a subscription Plan may add personas beyond the Plan limit. Each extra persona is charged per Qualified Conversion at the rate in clause 1, subject to a monthly minimum of €[X] per persona, which is credited against conversion fees in the same month.

Mezi Scout personas are included in each Plan up to the number stated in clause 1. Additional personas are charged as set out in clause 6. Mezi Scout fees are not discounted and no annual discount applies to them.

[Guarantee period and conditions to be confirmed before launch.] A subscriber who completes onboarding within [7] days of the start date, approves its target audience in writing, answers leads within [2] working days and holds its meetings through MeziBook is covered as follows. If the subscriber does not receive a Qualified Introduction within [X] days, the Service Provider will extend the subscription at no charge until one is delivered. This is the sole remedy. It applies to subscription Plans only; Pay as you go Businesses already pay only for results.

A "Qualified Introduction" for this clause means a meeting booked and held through MeziBook with a Prospect who matches the target audience approved by the Business.

This MezAgent Fee Agreement (this "Agreement") is between you ("You" or "Professional") and MezAgent Limited ("Service Provider", "we", or "us") (collectively "Parties"). This Agreement provides information on the fees the Service Provider charges for optional paid add-ons available to Professionals on the Platform. You understand that by using the Services and by clicking accept when prompted on the Platform, You agree to be bound by all agreements which constitute our Terms of Service, and You agree that the "Terms of Service" means every agreement linked herein and includes the Terms of Use, User Agreement, Privacy Policy, Cookie Policy and this Agreement, and such other documents which are published by us on the website mezagent.com (the "Site").

Capitalised terms not defined in this Agreement are defined in the User Agreement, Terms of Use, or elsewhere in the Terms of Service.

To the extent permitted by applicable law and except as otherwise provided in the Terms of Service, we may modify this Agreement by posting the revised Agreement on the Site, and revisions take effect when posted unless otherwise stated. We will give at least thirty (30) days' advance notice of any increase in prices or fees affecting current Professionals.

Professional accounts on MezAgent are free to register and use. There is no subscription fee for Professional access to the Platform. Professionals may access the Platform's core features, browse Business profiles, submit introductions, and participate in the MezAgent referral network at no cost.

MezAgent takes zero commission on any referral, introduction, or transaction between a Professional and a Business facilitated through the Platform. All referral fees and commissions are agreed directly between the Professional and the Business and are paid directly between them. MezAgent Limited is not a party to any referral fee arrangement between Professionals and Businesses.

Professionals may purchase the following paid add-ons. Add-ons are not required to use the Platform and are entirely voluntary.

Private Mode gives Professionals enhanced anonymity while browsing and being discovered on the Platform.

Your real name, employer, and profile details are hidden from Businesses until you choose to reveal your identity.

Your introductions remain tracked and protected anonymously.

Anonymity applies in Platform search and browsing only.

When a Professional signs a referral agreement with a specific Business, their identity becomes visible to that Business only. Signing a referral agreement does not affect your anonymity in relation to any other Business on the Platform.

Private Mode is a monthly rolling subscription at €34 per month.

The Professional may cancel at any time. Upon cancellation, Private Mode remains active until the end of the current billing period and is then deactivated.

No refunds are provided for unused portions of a billing period.

Golden Frame is a cosmetic and visibility upgrade for the Professional's profile on the Platform.

A premium gold frame is displayed on the Professional's profile card when viewed by Businesses.

The Professional's profile receives higher placement in Business search results when Businesses browse for Professionals matching their speciality.

Golden Frame is a monthly rolling subscription at €19 per month.

The Professional may cancel at any time. Upon cancellation, Golden Frame remains active until the end of the current billing period and is then deactivated.

No refunds are provided for unused portions of a billing period.

Paid add-on subscriptions are billed monthly in advance. Payment is charged on the date the Professional activates the add-on and on the same date each subsequent month.

All fees are charged in Euros (EUR). Where payment is made in another currency, the conversion rate applied is the prevailing mid-market rate on the date of the transaction. The Professional is responsible for any currency conversion fees charged by their payment provider.

Subscriptions automatically renew at the end of each monthly period. By activating a paid add-on, You expressly agree to automatic monthly renewal and agree to be billed accordingly unless You cancel before the renewal date.

To cancel a paid add-on, the Professional must do so at least 24 hours before the next renewal date. Cancellation takes effect at the end of the current billing period.

We may from time to time offer a free trial period of up to 14 days for paid add-ons. During any free trial period, the add-on is provided "AS IS" without any representations or warranties, express or implied, to the fullest extent permitted by law. The Service Provider shall have no liability for the use of the Platform or Services during a free trial.

At the end of any free trial period, the add-on will automatically convert to a paid monthly subscription unless the Professional cancels before the end of the trial period. Professional access to the Platform remains free regardless of whether a free trial converts to a paid add-on.

MezAgent may introduce additional paid features, promoted listings, or advertising options on the Platform in the future. Any such features will be subject to separate pricing and terms which will be published on the Site and will form part of this Agreement upon publication. No obligation to purchase any future feature is created by this Agreement.

This Fee Agreement applies to Professional accounts only. Business account plans, pricing, and commercial terms are governed exclusively by the MezAgent Business Terms of Service. Business accounts should refer to those terms for all pricing and fee information.
