Terms of Service
This page sets out the terms that apply when you use the MezAgent Platform and the services provided through it.
We set out the terms for Businesses and for Professionals separately. The section that applies to your account type is shown below.
Account Types
MezAgent operates with two account types — Professional accounts and Business accounts. Professional accounts are governed by these Terms of Service. For Businesses
These terms apply if you registered on the Platform as a Business.
1. Acceptance of Terms
By clicking "Create My Account" or otherwise accessing the Platform as a Business, you agree to be bound by these Terms, the User Agreement, the Fee Agreement, and Appendix 1 — Mezi Scout Managed Service Agreement (together, the "Terms of Service").
If you are accepting these Terms of Service on behalf of a business or legal entity, you represent that you have the authority to bind that entity to these Terms.
You affirm that you are legally capable of entering into binding contracts and are aged 18 or older. MezAgent Limited reserves the right to modify these Terms at any time. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms.
2. Business Registration and Compliance Review
Any business may open a Business account on mezagent.com and select the Plan appropriate to its requirements.
Every new Business account is subject to a compliance review before it is fully activated. While the review is in progress, the Business may open its account, complete onboarding and set up its profile, but it will not have access to Platform outreach. Outreach on the Email and LinkedIn channels included in the Business's chosen Plan may proceed during the review. The Service Provider will complete the review as promptly as reasonably possible and will notify the Business of the outcome. The Service Provider may decline or discontinue any Business application if the review is not satisfied, in accordance with clause 8 of this Part A.
Platform outreach is activated only once the compliance review has been successfully completed. The Business agrees to provide the information and documents reasonably requested for the review.
You agree to provide true, accurate, current, and complete information during registration. The Service Provider may suspend or terminate your account if it has reason to believe you have provided false, misleading, or incomplete information.
3. Plans and Payment
Business access to the Platform is on a Plan basis. The Plans are Pay as you go, Launch, Scale, Dominate and Partner (each a "Plan"), as described in Part C. Each subscription Plan (Launch, Scale, Dominate and Partner) is subject to a minimum contract term of three (3) months from the date of account activation. The minimum term is non-cancellable. Businesses are liable for all fees due for the full minimum term regardless of whether they continue to use the Platform.
After the minimum term, a subscription Plan continues on a rolling monthly basis until either party gives [thirty (30)] days' written notice of cancellation, unless the Business has chosen a twelve-month contract under Part C.
The Pay as you go Plan has no minimum term and may be cancelled at any time. Cancellation takes effect at the end of the current monthly billing period, and the fees for that period are not refunded. Fees for Qualified Conversions recorded before cancellation remain payable.
All fees are non-refundable unless otherwise required by applicable law, stated in clause 8 of this Part A (termination by the Service Provider within two weeks of account opening), or expressly stated in a written amendment signed by both parties.
4. Use of the Platform
The Platform is a venue that facilitates connections between Businesses and Professionals. The Service Provider does not participate in or control the contracting, performance, or quality of services offered by Professionals or Businesses.
The Service Provider makes no warranties or guarantees regarding the success or outcome of any interaction, introduction, or contract between Users unless expressly stated in these Terms of Service (including the guarantee in Part C, where it applies) or in a separate written amendment signed by both parties. The use of the Platform does not and will not create an employment, agency, or joint venture relationship between the Service Provider and any User.
You agree to comply with all applicable local, national, and international laws in your use of the Platform. Those who access or use the Platform from outside the United Kingdom do so at their own risk and are entirely responsible for compliance with all applicable laws and regulations in their jurisdiction.
5. Intellectual Property
All content, features, and functionality on the Platform are the exclusive property of MezAgent Limited or its licensors and are protected by applicable intellectual property laws.
The Service Provider grants Businesses a limited, non-exclusive, non-transferable licence to access and use the Platform strictly for the purposes outlined in these Terms. Businesses are permitted to use the MezAgent logo solely to indicate their participation on the Platform. Any other commercial use of MezAgent trademarks requires prior written consent from MezAgent Limited.
8. Termination and Suspension
The Service Provider may suspend or terminate a Business account at any time if the Business breaches the Terms of Service. Except in cases of serious or repeated violations, the Service Provider will provide written notice and a period of seven (7) days to remedy the breach before suspension or termination.
Termination by the Business during the minimum contract term of a subscription Plan does not relieve the Business of its obligation to pay all fees due for the remainder of the minimum term. Upon termination, the Business's access to the Platform will cease immediately. Any data retained by the Service Provider will be handled in accordance with the Privacy Policy.
The Service Provider may terminate a Business account and the services at any time, including as a result of the compliance review, in accordance with this clause. If the Service Provider terminates the services, or the Business's account, for any reason within two (2) weeks after the date the Business's account was opened, the Service Provider will refund the membership fee paid by the Business for the Plan. Fees for Qualified Conversions are not part of this refund. Any other fees remain subject to the Terms of Service.
9. Limitation of Liability
The Service Provider and its affiliates make no representation or warranty, express or implied, about the Services, including that the Services will be uninterrupted or error-free, and provide the Services on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, the Service Provider disclaims any implied or statutory warranty, including any implied warranty of title, accuracy of data, non-infringement, merchantability, or fitness for a particular purpose.
Businesses acknowledge and agree that the Service Provider: (a) is not responsible for ensuring the accuracy or legality of any user content; (b) is not responsible for the offering, performance, or procurement of Professional services; and (c) does not make any representations about or guarantee any particular User's offered products or services.
To the fullest extent permitted by applicable law, the Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with use of the Platform. The Service Provider's total liability to the Business for any claims arising under these Terms shall not exceed the total fees paid by the Business in the twelve (12) months preceding the claim. This provision does not apply to claims arising from or related to the Mezi Scout service, which are governed by clause 9 of Appendix 1.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of London.
User Agreement
1. Business Conduct and Professional Standards
Businesses agree to conduct themselves professionally at all times when using the Platform and when interacting with Professionals, other Businesses, and clients. Businesses represent and warrant that they hold all licences, registrations, and regulatory approvals required by applicable law to operate their business and offer the products or services listed on the Platform.
3. Professional Introductions
When a Professional submits an introduction to a Business through the Platform, the Business agrees to respond in good faith and in a timely manner. The terms of any referral fee or commission are agreed directly between the Business and the Professional. The Service Provider is not a party to any referral fee arrangement.
MezAgent Limited takes zero commission on any referral, introduction, or transaction between a Professional and a Business facilitated through the Platform. All referral fees are paid directly between the Professional and the Business. This does not affect the fees payable by the Business to MezAgent Limited under Part C. Those fees are service fees (including any per-Qualified-Conversion fee) and are not a commission on the value of any deal.
Businesses must not circumvent the Platform's introduction tracking system or attempt to engage with Professionals outside the Platform in a manner that deprives a Professional of a referral fee they are legitimately owed.
4. Mezi Inhouse AI
All Plans include access to Mezi Inhouse AI, which enables Businesses to connect with and manage relationships with Professionals already registered on the Platform. Mezi Inhouse AI is provided as part of the Plan. The Service Provider does not guarantee specific outcomes from its use. [Confirm that Pay as you go includes Mezi Inhouse AI.]
5. Personas and Outreach (Mezi Scout)
Each Plan includes the number of Mezi Scout outreach personas stated in Part C. A persona is a dedicated outreach identity on one channel (Platform, Email or LinkedIn), managed by MezAgent Limited on the Business's behalf. Where the Plan allows, additional personas may be added at the rate in Part C. The full terms of the service are in Appendix 1.
6. Qualified Conversions and MeziBook
A "Qualified Conversion" occurs when, as a result of outreach by a persona on behalf of the Business, a Prospect (a) books a call or meeting with the Business by telephone or video call (including Google Meet), or (b) provides a telephone number or email address so that the Business can contact them. [The Prospect must match the target audience approved by the Business.]
A Qualified Conversion is recorded when the booking is made or the contact details are provided, whether or not the call later takes place. If a booked call does not take place, the Service Provider's systems will try to rearrange it, and no further Qualified Conversion fee is charged for the same Prospect [within 90 days].
Qualified Conversions are recorded in MeziBook and in the Platform's records, which are conclusive evidence unless shown to be wrong. A Business may dispute a Qualified Conversion in writing [within 7 days] of the monthly statement, on the grounds that it is a duplicate, is outside the approved target audience, or does not meet the definition above. The Service Provider will review each dispute in good faith and credit any conversion found to be invalid.
MeziBook is the Service Provider's calendar and booking tool and is provided free of charge to all Businesses. [Optional: Businesses must not avoid or reduce Qualified Conversion fees by diverting Prospects away from MeziBook or the Platform's records.]
7. LinkedIn Visibility and Optional Services
LinkedIn visibility. Where included in the Business's Plan under Part C, the Service Provider will like and comment on the Business's LinkedIn posts through its own accounts and will tell its audience about the Business's brand and services (co-brand). These services are included at no extra charge, are provided on a reasonable-endeavours basis, and do not guarantee any level of reach or engagement.
Optional services. The Service Provider may offer the following under a separate written order, quoted separately: LinkedIn personal brand, corporate page, profile settings, mapping and posting; website design, build and maintenance; and paid advertising management. Each is governed by its order. Advertising spend and third-party costs are paid by the Business.
9. Data and Privacy
The Service Provider processes personal data in accordance with its Privacy Policy, available at mezagent.com. By registering as a Business, you consent to the processing of personal data as described in the Privacy Policy.
10. Changes to the Platform
The Service Provider reserves the right to modify, update, or discontinue any features of the Platform at any time. The Service Provider will endeavour to provide at least thirty (30) days' written notice of any material changes that materially affect Business access or core functionality.
11. Entire Agreement
These Terms of Service (comprising Part A — Terms of Use, Part B — User Agreement, Part C — Fee Agreement, and Appendix 1 — Mezi Scout Managed Service Agreement) constitute the entire agreement between the Business and the Service Provider and supersede all prior agreements, understandings, or representations relating to the Business's use of the Platform.
Any amendment to these Terms must be agreed in writing and signed by both parties. Where an amendment is agreed — including any service level commitment, guarantee, Co-Brand Alliance arrangement, or pricing variation — it shall take effect as a separate written amendment to this Agreement.
Mezi Scout Managed Service Agreement
This Appendix forms part of the MezAgent Business Terms of Service and governs the Mezi Scout managed outreach service.
1. Nature of the Service
Mezi Scout is a fully managed, external outreach service provided by MezAgent Limited for Business members. It is entirely separate from the Platform's Mezi Inhouse AI feature.
Mezi Scout operates by creating and managing dedicated outreach personas — Platform, LinkedIn or email outreach personas — that proactively identify and contact, on behalf of the Business, ideal Prospect profiles agreed with the Business during the onboarding session. The Business is not required to take any action beyond the initial onboarding process.
2. Channels Available
LinkedIn Scout Persona: LinkedIn Scout Persona — A dedicated LinkedIn persona is created, managed, and monitored by MezAgent Limited. Daily targeted outreach is conducted to Professional profiles matching the Business's defined ICP. Performance monitoring is included.
Email Outreach Persona: Email Outreach Persona — A parallel managed email outreach service targeting the same ICP. Outreach sequences are built, managed, and optimised by MezAgent Limited.
Platform Persona: A persona operating within the MezAgent Platform that connects the Business with verified Professionals already registered on the Platform. [Confirm wording.]
The channels and the number of personas available depend on the Business's Plan, as set out in Part C.
3. Onboarding
Upon activating a Plan that includes personas, the Business will undertake a structured onboarding process with the MezAgent team, including ICP definition, persona creation, and message sequence development. The onboarding process typically takes seven to fourteen (7–14) days from the date of activation. Outreach activity commences upon completion of onboarding.
Payment of the first month's fee is due before the onboarding process begins.
4. Pricing and Billing
Persona outreach is included in the Plan fee up to the persona limit. Fees for Qualified Conversions (Pay as you go) and extra personas are billed monthly in arrears, in Euros (EUR), as set out in Part C. Mezi Scout fees are never discounted and no annual discount applies.
5. Service Standards
MezAgent Limited will use reasonable endeavours to deliver the Mezi Scout service in a professional and timely manner. The Service Provider will provide the Business with regular performance reports detailing outreach activity, response rates, and meetings booked.
Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, the Service Provider disclaims any implied or statutory warranty regarding specific outcomes. Any service level commitment or guarantee — including minimum numbers of qualified conversations — must be agreed separately in a written amendment signed by both parties, which will form part of this Agreement, other than the First Qualified Introduction Guarantee in Part C where it applies.
6. Cancellation
Mezi Scout personas included in a Plan end when the Plan ends. Extra personas may be removed on thirty (30) days' written notice to the Service Provider, effective at the end of the notice period; fees are payable for the full notice period and are non-refundable. A Pay as you go outbound persona may be cancelled at the end of any billing month.
The Service Provider may terminate the provision of Mezi Scout services by giving written notice to the Business. Where termination occurs within two (2) weeks after the account opening date, clause 8 of Part A applies; in other cases the Service Provider will refund the unused portion of fees paid for the remaining notice period.
7. Confidentiality
MezAgent Limited will maintain the confidentiality of all Business information provided for the purposes of the Mezi Scout service, including ICP definitions, messaging strategies, and any proprietary business information.
The Business acknowledges that the outreach personas created by MezAgent Limited for the Mezi Scout service are the property of MezAgent Limited and will not be transferred to the Business upon cancellation.
8. Compliance
The Business agrees not to instruct the Service Provider to conduct outreach in any manner that would violate applicable laws or third-party platform terms, including LinkedIn's terms of service and applicable data protection laws. The Business warrants that its ICP definition and target markets do not include contacts in jurisdictions subject to trade or economic sanctions.
9. Liability
The Service Provider's liability in connection with the Mezi Scout service is limited to the fees paid by the Business under its Plan in the [three (3)] months preceding any claim. The Service Provider is not liable for any indirect, consequential, or reputational damages arising from Mezi Scout outreach activity.
